Position Summary
The Paralegal, Contract Operations functions as the custodian of legal template integrity, ensuring that configured documents are accurate and fit for automated system generation. The role demands meticulous attention to detail, a working understanding of Contract Lifecycle Management (CLM) system fundamentals, and strong contract drafting skills. This individual will serve as the operational backbone of the Configuration Management Record artifact, maintaining the accuracy, consistency, and version control of all templates used in automated template document generation.

Responsible for Configuration Management Records (CMR) of templates used in CLM.

Initiate Configuration Management process and ensure CMRs are accurately maintained

Process document retrieval requests from Legacy CLM as appropriate.

Maintain Clause Library within CLM solution and update in accordance with approved CMR.

Facilitate annual review of templates with Legal team and other functional departments as needed.

Ensure regulatory compliance requirements are met and incorporated into templates.

Maintain Exhibit/Supplemental Documents library in COMPASS SharePoint.

Key Responsibilities

Review and audit Annotated Templates to verify accuracy, completeness, and alignment with current legal standards and approved language.

Apply approved updates and revisions to templates in accordance with change control procedures.

Create, maintain, and update Configuration Management Records (CMRs) for each template, capturing version history, change rationale, approval status, and effective dates.

Coordinate with the COMPASS Project Team to validate that templates function correctly when generated by the CLM system.

Identify inconsistencies, conflicts, or deficiencies in template language and escalate to supervisor for resolution.

Ensure templates comply with applicable internal policies, legal requirements, and industry-specific standards.

Support template lifecycle management, including retirement, archiving, and replacement of obsolete versions.

Assist in developing and maintaining template governance documentation and user guidance materials.

Skills:

Demonstrated ability to navigate and operate document management systems and contract lifecycle management (CLM) systems. Comfortable working with structured data fields, conditional logic, and system-linked variables within legal documents. Prior Agiloft experience a plus.

Strong command of legal drafting conventions, contract structure, and standard commercial provisions. Ability to identify, interpret, and apply approved language accurately within templated formats, and to flag deviations or ambiguities for legal review. Prior Pharmaceutical experience strongly preferred.

Effective written and verbal communication skills, including the ability to document changes clearly in CMRs, coordinate cross-functionally with internal stakeholders, and present template-related issues concisely.

Familiarity with the legal and regulatory landscape relevant to the organization’s contract types (e.g., consulting agreements, NDAs, service contracts). Knowledge of document governance best practices and change management protocols is preferred.

Experience:

Associate’s or Bachelor’s degree in Paralegal Studies, Legal Studies, Business, or a related field; or Paralegal Certification; or equivalent professional experience.

Minimum four years of paralegal, legal operations, or contracts management experience, with demonstrated exposure to contract review, drafting, or document management.

Prior experience with template management, CLM solutions, and/or configuration management is strongly preferred.
